Who I am

Dev Sathya is the trading name of Devaprakash Sathyanarayanan, an independent adviser. Engagement letters and other legal documents are made in that legal name.

Regulatory status

United States. I am not registered as a broker-dealer with the Securities and Exchange Commission or any state, and I am not a member of FINRA. I advise only on the transfer of ownership of an eligible privately held company to a buyer who will control and actively operate it, the activity addressed by section 15(b)(13) of the Securities Exchange Act of 1934. I do not handle or hold funds or securities, arrange financing for buyers, act in public offerings, or advise on minority or passive investments.

United Kingdom. I am not authorised or regulated by the Financial Conduct Authority. Mandates are limited to the sale of a controlling interest in a private company.

Elsewhere. I take mandates only where the local rules permit an adviser in my position to do so, and I ask the owner's counsel to confirm this before an engagement begins.

Nothing on this site, or in any email I send, is legal, tax, accounting or investment advice, a recommendation to buy or sell securities, or an offer of securities. Owners and acquirers rely on their own lawyers, accountants and financial advisers for those matters.

The acquisitions listed on this site are drawn from public announcements by the acquirers or from dated reports, read on the date stated. They are given for information only. None is a transaction I advised on, and no company named has endorsed or is associated with this practice. Company and product names are the trademarks of their owners and are used only to describe a market.

Privacy notice

This notice explains how I use the personal data of business owners, executives and others I contact or who contact me. I am the controller of that data.

What I hold

• Business contact details: name, role, company, business email address and business telephone number.
• Public information about the company: what it does, where, its size, and its owners and directors as published.
• The correspondence we exchange, and any information you choose to send me.

Where it comes from

From you; from company websites, public registers and public announcements; and from professional business-contact databases that supply work email addresses.

Why I use it, and the lawful basis

To contact owners about a possible sale of their company and acquirers about their acquisition interests, and to run engagements once agreed. Under the UK General Data Protection Regulation, the basis is my legitimate interest in contacting businesses about transactions relevant to them, balanced against your interests: each message is sent to a business address, about your business role, and you can ask me to stop at any time. Where an engagement is signed, the basis is the contract.

Sharing

I do not sell or rent personal data. Information about an owner's company is shared with an acquirer only with the owner's agreement and, for anything identifying, after a signed non-disclosure agreement. My email is hosted by Zoho, which processes mail on my behalf.

How long I keep it

Contact details for people I have written to but not worked with are deleted within 24 months of the last contact, or straight away if you ask. Engagement records are kept for as long as the law requires.

Your rights

You may ask to see the data I hold about you, to correct it, to delete it, or to object to its use, including for any further contact. Write to dev@devsathya.com; a reply such as "no further contact" is enough, and I will not write again. In the UK you may also complain to the Information Commissioner's Office.

Cookies and analytics

This site sets no cookies and uses no analytics or advertising trackers. Fonts are loaded from Google Fonts, which receives your browser's address when a page loads.
