01 What to expect
A prepared seller and a defined process.
Most small-company processes stall on missing records, a moving timetable or an owner who was never prepared. Each mandate is run to remove those causes before you see the first page.
Prepared sellers
Normalised earnings with a documented add-back schedule, a recurring revenue analysis and the obvious diligence issues already surfaced.
Complete information
A confidential information memorandum, a data room index and written answers to management questions, on a published timetable.
A level field
Every approved acquirer receives the same information at the same time, with clear dates for indications of interest and letters of intent.
One point of contact
The person who prepared the business runs the process, so questions reach a considered answer quickly.
Exclusivity on clear terms
Granted against a written LOI that settles price, structure, earn-out metrics, the working capital approach and the owner's role after completion.
No fee from you
I act for the seller. Acquirers do not pay me: no buy-side retainer and no finder's fee.
02 Who goes forward
What owners ask of an acquirer.
Owners care who buys the firm they built. The acquirers I put forward can show four things.
- A comparable purchase. A dated acquisition of a similar firm, and a clear reason to buy this one.
- The means to complete. Committed capital, a sponsor or a balance sheet that covers the price.
- A named decision-maker. And written responses within the timetable.
- Discipline after the LOI. Any change to price justified by new evidence, not by the passage of time.
